Terms of Service — Online Business Exchange

Last updated: November 2026
Applies to: OnlineBusinessExchange.com and all services offered through it (together, “OBE”, “we”, “us”).

1. What OBE is — and what it is not

1.1 Online Business Exchange is an online marketplace venue. We provide advertising space for online businesses offered for sale, and an introduction service that lets registered buyers and sellers contact each other about those listings.

1.2 OBE is not a business broker, real estate broker, securities dealer, agent, or fiduciary for any user. We do not act on behalf of any buyer or seller in a transaction.

1.3 OBE does not:

  • negotiate price or terms, or relay offers or counter-offers as an agent;
  • hold, receive, transmit, or control deposits, purchase funds, or securities — not even temporarily;
  • provide escrow services;
  • prepare or execute binding transaction documents (including letters of intent or purchase agreements) for the parties;
  • provide legal, accounting, tax, financial, investment, or valuation advice;
  • appraise, certify, or guarantee the value of any business;
  • guarantee that any listing will sell, that any buyer will enquire, or that any transaction will complete.

1.4 If the parties to a transaction want escrow, they must engage an established third-party escrow or transaction service directly. OBE is never a party to that escrow. If the parties want advice, valuation, or documents, they must engage their own qualified professionals.

2. Who may use OBE

2.1 You must be at least 19 years old (or the age of majority where you live, if higher) and legally able to enter contracts.

2.2 Launch scope: OBE lists online-only businesses with no owned real property and no premises. Listings whose transaction materially includes owned real estate or a premises lease are outside launch scope. We may decline, hold, or remove such listings and, where appropriate, suggest the seller consult a licensed brokerage. OBE will not service a real-estate transaction.

2.3 You are responsible for complying with the laws that apply to you and to your transaction, including brokerage, securities, tax, and privacy laws in your jurisdiction.

3. Accounts

3.1 Browsing public listings does not require an account. Submitting a listing, submitting an enquiry, and using saved-search or alert features require an account or an application form, as the site provides.

3.2 You must provide accurate account information, keep your credentials confidential, and notify us promptly at info@onlinebusinessexchange.com if you believe your account has been compromised. You are responsible for activity under your account.

3.3 One person or business may not maintain multiple accounts to evade moderation, fees, or a suspension.

4. Listings — seller responsibilities

4.1 The seller is solely responsible for the accuracy and completeness of their listing, including every financial figure, operating claim, and statement about what is included in the sale.

4.2 By submitting a listing, the seller certifies that:

  • they own the business/assets offered, or are authorized by the owner to offer them;
  • every figure they supply is accurate to the best of their knowledge;
  • every document they supply is their own (or supplied with the rights-holder’s permission) and is not falsified;
  • the listing does not infringe any third party’s rights.

4.3 Every financial figure in a listing carries one of the three evidence labels defined in our Listing and Evidence Policy. A figure labelled “Seller-stated” has not been independently verified by OBE. The word “verified” is used on this site only as defined in that Policy.

4.4 Prohibited listing content includes: guaranteed-return or “passive income” promises; describing a business as “profitable” where the supplied financial information does not support it; invented or materially misleading revenue, profit, traffic, or growth figures; listings for businesses the seller does not own or control; and listings that are unlawful or that facilitate unlawful activity.

4.5 Manual approval. No listing publishes automatically. Every listing is reviewed, and the seller must approve the final listing text before publication. Material changes to price, financial figures, included assets, or deal structure return the listing to review and require the seller’s approval of the revised text.

4.6 Sellers may update or withdraw their listing at any time through their account or by contacting us. A withdrawn, expired, or sold listing stops receiving enquiries.

4.7 OBE may edit a listing’s formatting, decline a listing, suspend a listing pending review, or remove a listing at any time — including for inaccurate claims, prohibited content, complaints, or suspected fraud — without that action making OBE a party to any transaction.

5. Enquiries and introductions

5.1 A buyer enquiry is an introduction only. Submitting or receiving an enquiry creates no obligation on either party and no agency relationship with OBE.

5.2 After an introduction, buyers and sellers communicate, negotiate, conduct due diligence, and close directly with each other, with their own advisors. OBE is not copied on, and does not supervise, those dealings unless a party chooses to copy us.

5.3 Buyers must not use seller contact details or listing information for any purpose other than a genuine enquiry about that listing.

6. Fees

6.1 OBE charges flat advertising fees only, as set out on the Fees & Packages page. Fees are for advertising and access. They are never a percentage of a sale price, never a success fee, and never contingent on a transaction completing.

6.2 Paid plans are not yet sold. Until payments are activated, packages are shown as “Coming Soon” / “Apply for Launch” and founding listings are handled by application. No user will be charged until a paid plan is offered with its final terms — including its refund terms — published (see Fees & Packages).

6.3 Prices are in USD unless a page states otherwise. Taxes, if applicable, will be stated before any charge is made.

7. Buyer acknowledgement

7.1 By registering as a buyer or submitting an enquiry, you accept the Buyer Acknowledgement: figures in listings are seller-stated unless labelled otherwise under the Listing and Evidence Policy; OBE does not audit, appraise, value, or recommend any business; and you must complete independent due diligence with your own advisors before relying on any figure or entering any transaction.

8. Acceptable use

You agree not to: scrape or harvest listings or user data except as permitted by law and our robots directives; post false, misleading, or fraudulent content; impersonate another person or business; interfere with the site’s operation or security; use the site to send unsolicited commercial messages in breach of Canada’s Anti-Spam Legislation (CASL) or other applicable law; or use listing information to compete by misrepresentation.

9. Intellectual property

9.1 The OBE name, logo, site design, and OBE-authored content belong to OBE or its licensors.

9.2 By submitting listing content, you grant OBE a non-exclusive, royalty-free licence to display, reproduce, and format that content for the purpose of operating and promoting the marketplace (including showing your approved listing in search results and in OBE’s own marketing of the marketplace — never by restating your financial figures as OBE-verified facts). You may withdraw a listing at any time; withdrawal ends future display.

10. Third-party services and links

The site may link to third-party services (for example, payment processing when activated, analytics, or a third-party escrow service the parties choose). Those services are governed by their own terms. OBE is not responsible for third-party services.

11. Disclaimers

11.1 The site and all listings are provided “as is” and “as available”. To the fullest extent permitted by law, OBE disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11.2 OBE does not warrant that any listing is accurate, that any business will perform as described, or that any transaction will complete. Seller figures remain seller claims at every evidence tier — “Evidence supplied” means documents were provided, not that OBE audited them; “Data-connected” describes the source of a specific metric, not the quality of the business.

12. Limitation of liability

To the fullest extent permitted by law: OBE’s total liability arising from the site or these Terms is limited to the advertising fees you paid to OBE in the 12 months before the claim (or CAD $100 if you paid none); and OBE is not liable for indirect, incidental, consequential, or punitive damages, for lost profits, or for losses arising from a transaction between users, from reliance on a listing’s figures, or from a party’s failure to complete due diligence. Nothing in these Terms limits liability that cannot be limited by law.

13. Indemnity

You agree to indemnify OBE and its operator against claims, losses, and reasonable legal costs arising from your listings, your content, your transactions with other users, or your breach of these Terms.

14. Suspension and termination

We may suspend or terminate an account or listing for breach of these Terms, suspected fraud, unlawful activity, or risk to other users. You may close your account at any time by contacting us. Sections 4, 9, 11, 12, 13, and 15 survive termination.

15. Governing law and disputes

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there. Disputes arising from these Terms will be brought in the courts of British Columbia, unless applicable consumer-protection law gives you the right to proceed elsewhere. Disputes between a buyer and a seller about their transaction are the parties’ own matter — OBE is not an arbitrator, mediator, or party to them. OBE’s role in a complaint about a listing is limited to reviewing the listing against these Terms and the Listing and Evidence Policy (including suspending or removing it).

16. Changes

We may update these Terms. The current version is posted on this page with its date. Material changes will be highlighted on the site or notified to account holders. Continued use after a change takes effect is acceptance of the updated Terms.
